2. Preamble
The Company invites its Users to carefully read these Terms and Conditions of Sale and Use (hereinafter “T&Cs”). The T&Cs apply to all Services provided by the Company to its Clients of the same category, regardless of any clauses that may appear in the Client’s own documents, including their general purchasing conditions.

The T&Cs are systematically provided to the Client upon request.

The Client is required to review the T&Cs before placing any Order.

In case of any later modification to the T&Cs, the Client will be bound by the version in effect at the time of their Order.

The data recorded in the Company’s computer system constitutes proof of transactions concluded with the Client.

3. Definitions
“Client” refers to any individual or legal entity placing an Order on this Website;
“Order” refers to any order placed by a registered User on this Website in order to benefit from the Company’s Services;
“Terms and Conditions of Sale and Use” or “T&Cs” refer to these present online terms and conditions of sale and use;
“Consumer” means the buyer who is a natural person acting outside of any professional or business activity;
“Professional” means the buyer who is a natural or legal person acting within the scope of their professional activity;
“Services” means all service offerings made available to Users by the Company through this Website;
“Website” means this Website;
“Company” refers to the Company as defined in Article 1 above;
“User” means any person using the Website.

4. Registration
Registration on the Website is open to all natural or legal persons of legal age and fully capable under the law.

Use of the Services offered on the Website is conditional upon the User’s registration on the Website.

To register, the User must complete all mandatory fields, without which the service cannot be provided. Otherwise, registration cannot be completed.

Users warrant and declare on their honor that all information provided on the Website, especially during registration, is accurate and truthful. They commit to updating their personal information via the dedicated page available in their account.

Each registered User has a username and password. These are strictly personal and confidential and must not be shared with third parties under penalty of account deletion. Each registered User is personally responsible for maintaining the confidentiality of their username and password. The Company cannot be held responsible for identity theft of a User. If a User suspects fraud at any time, they must contact the Company as soon as possible so that appropriate measures can be taken and the situation regularized.

Each User, whether a natural or legal person, may only hold one account on the Website.

In case of violation of the T&Cs, including creating multiple accounts for one person or providing false information, the Company reserves the right to temporarily or permanently delete all accounts created by the offending User.

Account deletion results in the permanent loss of all benefits and services acquired on the Website. However, any Orders placed and invoiced before account deletion will be executed under normal conditions.

If the Company deletes an account for failure to comply with the duties and obligations set forth in the T&Cs, the offending User is strictly prohibited from re-registering on the Website directly, through another email address, or by proxy without the Company’s express authorization.

5. Service Provision and Pricing
The Services covered by these T&Cs are those listed on the Website and offered directly by the Company or its partner service providers.

Services are described on the corresponding page within the Website, including all essential characteristics. The Company cannot be held responsible if the service cannot be performed when the User is ineligible.

When a registered User wishes to obtain a service sold by the Company through the Website, the price displayed on the service page is the price in American dollars (USD), all taxes included (TTC), and takes into account applicable discounts in effect on the Order date. The displayed price does not include additional fees, which will be indicated if applicable in the summary before placing the Order.

The Company reserves the right to modify its prices at any time. It commits to charging the prices applicable at the time the service is ordered. For services whose price cannot be known in advance or accurately indicated, a detailed quote will be provided to the Client.

Under no circumstances can a User demand the application of discounts no longer in effect on the Order date.

6. Orders
Any Order can only be placed once the User is registered on the Website. When logged into their account, the User may add Services to their virtual cart. They can access the summary of their cart to confirm the Services they wish to order and place the Order by clicking the “Order” button.

They must then provide their address, delivery method, and a valid payment method to finalize the Order and effectively form the sales contract between them and the Company.

An Order is recorded on the Website when the Client accepts the T&Cs by checking the appropriate box and confirms their Order. This confirmation constitutes proof of the sales contract. Finalizing the Order implies acceptance of the prices and terms of service as indicated on the Website.

After placing the Order, the Client will receive confirmation by email, including a summary of the Order and information related to service execution.

In case of payment default, incorrect Client address, or other issues with the Client’s account, the Company reserves the right to block the Client’s Order until the issue is resolved. If the service cannot be performed, the Client will be notified by email to the address they provided. Cancellation of the Order for that service and refund will then be processed, with the rest of the Order remaining final and binding.

The Company may grant the Client price reductions, discounts, or rebates depending on the number of Services ordered or the frequency of Orders, according to conditions set by the Company.

7. Payment Terms and Conditions
Unless otherwise stated, all sales are payable in full at the time of Order placement.

Depending on the nature or amount of the Order, the Company reserves the right to require a deposit or full payment at the time of Order or upon invoice receipt.

In case of total or partial non-payment of services on the invoice due date, the Professional Client shall pay the Company late payment penalties at a rate equal to the American Central Bank’s refinancing rate plus 10 percentage points. The refinancing rate applied is the most recent rate at the Order date of the services.

In addition to late penalties, any amount, including deposits, unpaid on its due date shall automatically incur a fixed indemnity of $40 for collection costs.

In case of total or partial non-payment on the due date, the Consumer Client shall pay the Company late payment penalties at the legal interest rate.

No set-off may be made by the Client between penalties due for late payment and amounts owed to the Company for Services purchased on the Website.

The penalty due by the Client, whether Professional or Consumer, is calculated on the total amount including taxes still owed and runs from the payment due date without the need for any prior formal notice.

In case of non-compliance with these payment terms, the Company reserves the right to cancel or suspend the sale.

8. Service Delivery

The service ordered on the Site will be provided by:

The Company commits to deploying all necessary human and material resources to perform the service within the deadlines announced at the time the Order is placed. However, it cannot be held liable for delays in service delivery caused by circumstances beyond its control.

If the service is not performed within a reasonable timeframe, the Customer may request cancellation or refund according to the specific terms of the contract or applicable state consumer protection laws.

This provision does not apply if the delay is due to the Customer’s fault or an unforeseeable event beyond the Company’s control (force majeure).

If the execution of an on-site service cannot be performed or is postponed due to an error in the address provided by the Customer, travel expenses incurred by the Company’s service provider for the unsuccessful visit will be borne by the Customer.

9. Complaints

For all Orders placed on this Site, the Customer has a reasonable period (typically 30 days) from the provision of the service to file a complaint.

To exercise this right, the Customer must send an email to the Company detailing their concerns and including any supporting documents.

Complaints that do not meet these criteria may not be accepted.

After reviewing the complaint, the Company may offer a replacement, refund, or other remedy at its discretion.

10. Consumer Right of Withdrawal

In the United States, there is generally no automatic right of withdrawal for online purchases.

Returns and refunds are governed by the Company’s stated policies and applicable state laws.

For digital products and services, no refund is available once the product has been downloaded or the service has begun.

If a satisfaction guarantee is offered, it will be valid for a maximum of 30 days, and only if the Customer has fully complied with the instructions provided.

Refunds will be processed using the original payment method within 14 days of receiving the cancellation request, less any amounts due for services already performed.

11. Processing of Personal Data

Registering on the Site involves processing the Customer’s personal data in accordance with applicable US privacy laws, including the California Consumer Privacy Act (CCPA) where relevant.

If the Customer does not consent to such processing, they are advised not to use the Site.
